This role is part of Alcon's Legal & Compliance function, a team that safeguards our company and our innovations to ensure our business is protected and our customers can access our eyecare innovations to see brilliantly.
The Manager, Governance and ESG, is primarily responsible for overseeing matters related to Swiss Governance and ESG initiatives, ensuring adherence to laws and regulations, and supporting risk assessments. You will work with business leaders to resolve legal issues and mitigate compliance risks, managing projects to enhance performance and efficiency.
Specifics include:
- Governance
Provide corporate governance advices to senior executives, notably in compensation, reporting or stock exchange matters
Support the organization of, and manage the processes around, Alcon Annual General Meetings
Lead the processes regarding SIX Swiss Exchange filings, including management transactions, shareholding reporting or regular reporting obligations
Support the Swiss corporate aspects of global M&A/BD&L transactions
Ensure the corporate housekeeping of the Swiss affiliates, including the preparation and maintenance of corporate secretarial records, such as e.g. board and shareholders resolutions, powers of attorney or share certificates
- ESG
Partner with, and support, the SIS team to implement Alcon sustainability strategies in collaboration with other group functions, in particular compliance, HSE and HR
Provide legal advices to senior executives and the SIS team with respect to the sustainability requirements of Swiss law, including the non-financial matters report
Follow closely, and support the implementation of, the ESG development of major EU regulations, notably CSRD, CSDDD or EUDR
Monitor compliance with more technical regulatory obligations, such as chemical regulations
Assist countries in meeting ESG disclosure requirements and align with global strategies
- General
Advise on general commercial agreements, notably as support of the treasury function
Develop, recommend and implement internal legal policies, procedures or guidelines, as required
Represent the legal function in cross-functional internal working groups and committees
Liaise and manage external counsels and consultants
Support the team with administrative tasks related to Alcon Inc., parent company of the Alcon group
WHAT YOU’LL BRING TO ALCON:
Law degree and, ideally, admission to the Swiss bar
3-5 years working experience, ideally in a consulting/law firm or a public company
Experience with knowledge of Swiss corporate/governance law
Strong interest in ESG topics and understanding of the EU sustainability landscape
Ideally, experience in coordinating and managing large cross-functional projects
Excellent communication and analytical skills
Proactive and can-do attitude
Proven ability to work independently and meet deadlines of demanding clients
Demonstrated professional and strong ethics and personal integrity
Fluency in English (written and spoken) and knowledge of at least one other language (French/German) preferred
