About the Role

We are seeking an experienced Governance Officer or Senior Governance Officer to join QIC’s Company Secretariat & Governance team. This role plays a critical part in supporting our global governance framework, ensuring our group entities comply with regulatory requirements across Australia, Luxembourg, Singapore, the UK, and the US.

Working closely with senior leaders, investment teams and functional specialists, you will provide hands‑on governance, compliance and entity management support, contributing to strong organisational integrity, transparency and operational excellence.

This role is ideal for someone who enjoys technical governance and compliance work and may be looking to step back from a senior advisory role into a more focused, flexible position. We welcome both full‑time and part‑time arrangements and offer hybrid working across multiple locations.

About You

You are an experienced governance, legal or financial services professional who thrives in detail‑oriented, compliance‑focused work. You enjoy solving complex regulatory problems across jurisdictions, managing entity information, and supporting governance processes that underpin a high‑performing global organisation.

You bring strong judgement, excellent communication skills, and a collaborative style, with the ability to work confidently with executives, internal stakeholders and external service providers.

Key Responsibilities

Regulatory & Compliance Oversight

  • Support and uplift regulatory arrangements for entities operating across multiple jurisdictions.
  • Ensure compliance obligations are met within a funds management and Government Owned Corporation context.
  • Prepare and lodge regulatory documentation, including with ASIC.
  • Review and update governance processes, procedures and corporate templates.
  • Maintain the Corporate Secretarial Manual in line with regulatory changes.

Entity Management & Governance Support

  • Support administration and governance oversight of Luxembourg‑domiciled entities.
  • Liaise with outsourced company secretarial providers, Directors and fund teams.
  • Facilitate circular resolutions and approval processes for key documents and financial statements.
  • Support QIC’s policy governance initiative, including the ongoing roll‑out of QIC’s Policy Project.

Board & Committee Support

  • Assist with planning, logistics and preparation of Board and Committee packs (via Diligent Boards).
  • Maintain accurate statutory records for companies, trusts and funds.
  • Act as a backup minute secretary for selected meetings.

Stakeholder Collaboration

  • Build effective working relationships across Finance, Tax, Risk, Compliance, Legal, Operations and Investment teams.
  • Support external stakeholder engagement including auditors, advisors, regulators and professional service providers.

Essential Criteria

  • Minimum 5 years’ experience in a legal, governance or financial services environment.
  • Strong understanding of multi‑jurisdictional regulatory and compliance frameworks.
  • Law or Business degree, or governance qualifications (AICD or Governance Institute).
  • Experience with Australian company registers (including ASIC).
  • Excellent document management, organisation and attention to detail.
  • Advanced Microsoft Word and Excel skills.
  • Exceptional written and verbal communication abilities.
  • Strong collaboration skills and ability to operate effectively within a small team.

Desired Criteria

  • Experience in a financial services institution, sovereign wealth fund or superannuation fund.
  • Experience managing offshore entities and navigating their regulatory environments.
  • Experience preparing Board/Committee packs and minute‑taking.
  • Familiarity with Diligent Boards / Diligent Entities.
  • Experience using CoPilot or other AI tools.
  • Basic coding knowledge.
